These Terms of Service govern your access to and use of the Sunnybrook Software LLC website and transportation management software (the Service). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Sunnybrook provides a transportation management platform and related tools for freight brokers and 3PLs. We may update, improve, or change features of the Service over time.
You are responsible for the information in your account and for keeping your credentials secure. You are responsible for all activity that occurs under your account.
You agree not to misuse the Service, including by attempting to access it in an unauthorized way, interfering with its normal operation, or using it to violate any law or the rights of others.
Paid plans are billed according to the pricing and terms presented at signup. Fees are non-refundable except where required by law or stated otherwise in a written agreement between you and Sunnybrook.
You retain ownership of the data you submit to the Service. You grant us the rights we need to operate and provide the Service to you. We handle personal information as described in our Privacy Policy.
The Service connects with third-party tools, load boards, and integrations. Your use of those services is governed by their own terms, and we are not responsible for third-party services.
The Service, including its software, design, and content, is owned by Sunnybrook Software LLC or its licensors and is protected by intellectual property laws. Where you purchase a code license, its terms are set out in a separate written agreement.
The Service is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability and fitness for a particular purpose.
To the fullest extent permitted by law, Sunnybrook Software LLC will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or data, arising from your use of the Service.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if we are required to do so by law.
These Terms are governed by the laws of the state in which Sunnybrook Software LLC is organized, without regard to its conflict-of-laws rules.
We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, let you know.
